Falcone’s LightSquared files for bankruptcy

LightSquared and many affiliates, as widely expected, filed for protection from creditors with the U.S. bankruptcy court in Manhattan. Falcone, once one of the hedge fund industry’s most powerful figures, and LightSquared’s creditors failed to reach an agreement.
Still Falcone, who dramatically overhauled his portfolio in the last two years by putting nearly all assets into LightSquared, is not giving up on his dream of building a network to compete with AT&T, Verizon and others. He put a positive spin on the bankruptcy filing by saying it would give the company much needed breathing room and protect it from creditors who he said are looking for a quick profit.

“The filing is intended by LightSquared to give it the additional runway it needs to resolve regulatory issues so it can build the nation’s first integrated satellite-terrestrial 4G wireless network,” Falcone wrote to investors in a letter seen by Reuters. He did not mention the enormous losses his portfolio sustained because of this bet.
In the first two months of 2012 Harbinger Capital Partners lost 26.7 percent after having dropped 47 percent last year, largely due to LightSquared writedowns.
One of the issues that creditors and Falcone haggled over was what role he would have in the future, people familiar with the matter said.
Creditors no longer wanted Falcone to be the public face of LightSquared and they wanted to cut Harbinger’s ownership stake to 50 percent with bondholders getting the other half, people familiar with the matter said.
At the same time LightSquared firmly blamed the everyone on the other side including the GPS industry and the main lenders for its current troubles.
Marc Montagner, LightSquared’s chief financial officer, said in a filing that the GPS industry, which balked when tests showed the interference, “refused to compromise” and “sought to convince regulatory agencies to strip LightSquared of its ability to use its allocated spectrum for terrestrial purposes.”

Meanwhile the biggest lenders, including hedge fund titan David Tepper’s Appaloosa Management, Capital Research and Management Company, Fortress Investment Group, Knighthead Capital Management and Redwood Capital Management, were seen by industry analysts as having been especially flexible. They had extended their deadline twice already even after LightSquared had violated the terms of its debt. Activist investor Carl Icahn had been part of the group until he sold out, likely making a tidy profit.
But by Monday it was clear that no last minute deal could be worked out even after lengthy meetings.
In its filing with the court, Reston, Virginia-based LightSquared said it has more than $1 billion of both assets and liabilities, according to the bankruptcy petition.
Financial statements for LightSquared reviewed by Reuters show that LightSquared has about $2 billion in outstanding debt.
According to the filing, some of LightSquared’s creditors include Boeing, which is owed $7.5 million, and Alcatel-Lucent, which is owed $7.4 million.
Milbank, Tweed, Hadley & McCloy is serving as general bankruptcy counsel to the company.
FALCONE’S HOPES AND DREAMS
For Falcone, who sank billions of dollars of his investors’ and his own money into LightSquared, the bankruptcy likely spells the end of the trader’s career as a professional investor, industry analysts said on Monday.
“It moves him one step closer to having lost everything he’s invested in it,” he said. “For him to get anything back he’ll have to come up with some deal that would deliver well in excess of $2 billion of value for this asset,” said Tim Farrar, an independent industry analyst who has followed the situation closely. “Without a spectrum swap or a strategic partner it’s very unlikely,” he said.
Only five years ago, Falcone had been crowned as one of the hedge fund industry’s biggest stars thanks to a savvy bet against the overheated housing market that helped increase his Harbinger Capital Partners to about $26 billion in assets under management. By earlier this year that had shrunk to roughly $4 billion.
When Falcone was hot, hundreds of endowments and funds of funds plus wealthy individual investors flocked to his New York-based hedge fund in hopes he would soon repeat the triple-digit gains of 2007.
Now Falcone, a former Harvard College hockey star, is being sued by at least one individual investor and other institutional investors who have not been able to get their money out as he locked down the portfolio to conserve cash. They acknowledge they are embarrassed to be ensnared in what could become the year’s biggest hedge fund collapse.

Syrian unrest spills into Lebanon for 3rd day

Sunnis comprise the majority in Syria, but Assad and his fellow Alawites play an outsized role in the country’s government and security forces, prompting seething resentments. On Monday, Syrian troops shelled the rebel-held town of Rastan, sparking intense clashes that sent bloodied victims flooding into hospitals and clinics, activists said.
An amateur video posted online Monday showed gunmen apparently taking control of an army position that was being used to shell Rastan. The video showed a tank, an armored personnel carrier and a military truck in flames.
“The raid liberated the military position,” the narrator said.
Rami Abdul-Rahman, the head of the Britain-based Syrian Observatory for Human Rights, said 23 soldiers were reportedly killed in the clashes. He cited rebel fighters but did not identify them, and the account could not be independently confirmed.

Michael Mann, spokesman for EU foreign policy chief Catherine Ashton, said two Syrian entities also were added to the boycott list, which now includes 43 Syrian companies, banks and other organizations.
The new measures, the 15th round of EU sanctions against Assad’s regime and its supporters, were adopted at a meeting of EU foreign ministers. The bloc will name the individuals and entities involved on Tuesday, Mann said.
In Damascus, state-run TV said the results of last week’s parliamentary elections will be made public Tuesday. The government has praised the vote as a milestone in promised political reforms, but the opposition boycotted the polls and said they were designed to strengthen Assad’s grip on power.

In his Monday press conference, Shafiq took a jab at the parliament and at Soltan personally, saying they were on a campaign to hinder his rise.
He said he wanted “to answer to these fabrications Soltan is throwing my way arbitrarily as part of an organized defamation campaign.”
He threw out an accusation of his own, accusing Soltan of being a regime agent who spied on the protesters at the height of the uprising that brought Mubarak down. Shafiq also accused him of being used by security agencies to carry out sting operations against other Islamists, including the Muslim Brotherhood.
Islamist groups were Mubarak’s best organized opponents and were the main target of his crackdowns.
“All he wished was to lick shoes to be allowed to form his own party,” Shafiq said. “I wish that when someone acts like a man, he is a man all his life.”
Soltan dismissed Shafiq’s accusations as “unsubstantiated,” mocking what he said was a transformation from a Mubarak loyalist to a champion of the opposition.
Both sides are playing to fears about their opponents: the Islamists suggesting that the former regime officials will take the country back to the days of Mubarak, and the former officials suggesting that the Islamist candidates will impose a hard-line religious agenda.
The powerful Muslim Brotherhood, which is also fielding a candidate, posted on its website Friday a religious edict, or fatwa, saying it was religiously banned to vote for the two former regime officials.
“Giving votes to people like these amounts to cooperation with them in aggression and wrongdoing, and failing the honest. …We urge all Muslims— all honorable Egyptians— not to fall for this trap,” the edict said.

Two California policemen ordered to trial over videotaped beating death

The fatal confrontation between police in Fullerton, southeast of Los Angeles, and 37-year-old Kelly Thomas was caught on videotape and touched off a series of protests in the city.
One clip of the beating, released by prosecutors this week and shown repeatedly on cable television, showed Thomas lying on the ground screaming, “They’re killing me,” as several officers swarmed over him, delivering multiple blows and Taser shocks.
Officer Manuel Ramos, 38, is charged with second-degree murder and involuntary manslaughter, and faces a maximum penalty of 15 years to life in prison if found guilty. www.shoesjordansforcheap.com
The second officer, Corporal Jay Cicinelli, 40, is charged with involuntary manslaughter and the use of excessive force. He faces up to four years in prison if convicted. Both policemen have pleaded not guilty.
Prosecutors said the pair, who approached Thomas to question him about reports of vandalized cars near a bus depot, turned a routine police encounter into an unnecessary and savage beating that cost the unarmed drifter his life in what represented a flagrant abuse of authority.
“They have uniforms, bases, they carry the guns, Tasers. It’s awesome power, really. We just have to trust that they follow the law,” Orange County District Attorney Tony Rackaukas said at the end of a three-day hearing.
Defense lawyers argued that Thomas started the struggle when he failed to comply with police instructions.
“Kelly Thomas, who has control of this situation, will not cooperate,” Ramos’ attorney, John Barnett countered in describing the scenario from the officers’ point of view. Jordan Shoes
The two policemen sat motionless and stared straight ahead, showing no emotion, as the judge said he found sufficient evidence to order them tried on all charges. Thomas’ father, a former sheriff’s deputy, fought back tears as his face grew visibly red.
Schwarm said he based his ruling on “the totality of the evidence in this case,” including chilling video of the beating captured by a bus station surveillance camera along with an audio recording picked up from the officers’ radio microphones.
Thomas died five days after the July 5 beating without ever regaining consciousness. Photos of him lying in a hospital bed showed his face, which sustained multiple fractures, bruised, swollen and lacerated beyond recognition.
Both police officers are on unpaid leave and are free on bond. Orange County Superior Judge Walter Schwarm ordered them back to court on May 22 for a formal arraignment.
Prosecutors have declined to bring charges against four other Fullerton police officers involved in the altercation, citing a lack of evidence.
Ron Thomas, the father of the homeless man, has filed a wrongful death lawsuit against the city of Fullerton, and the FBI was investigating the case.

Florida foreclosure case could slam banks

The court is deciding whether banks who used fraudulent documents to file foreclosure lawsuits can dismiss the cases and refile them later with different paperwork.
The decision, which may take up to eight months to render, could affect hundreds of thousands of homeowners in Florida, and could also influence judges in the other 26 states that require lawsuits in foreclosures.
Of all the foreclosure filings in those states, sixty three percent, a total of 138,288, are concentrated in five states, according to RealtyTrac, an online foreclosure marketplace. Of those, nearly half are in Florida. The case at issue, known as Roman Pino v. Bank of New York Mellon, stems from the so-called robo-signing scandal that emerged in 2010 when it was revealed that banks and their law firms had hired low-wage workers to sign legal documents without checking their accuracy as is required by law.
“This was a case of an intentionally fraudulent document fabricated to use in a court proceeding,” says former U.S. Attorney Kendall Coffey, author of the book Foreclosures in Florida. Jordan Shoes
If the Supreme Court rules against the banks, “a broad universe of mortgages could be rendered unenforceable,” Coffey says. “The cost to the financial industry is difficult to estimate, but it could be substantial.”
For comparison, some legal experts point to the Massachusetts Supreme Court’s decision in January 2011 that ruled a foreclosure invalid because at the time of the foreclosure the bank couldn’t prove it had a valid assignment of mortgage - a similar issue to the one in the Pino case.
In the wake of the decision, hundreds of house titles in Massachusetts became void, says foreclosure attorney Tom Cox, who brought what was one of the first foreclosure fraud suits in the country.
“If the Florida court takes a strong stand, it sends a strong signal to the mortgage servicing industry in the rest of the country,” says Cox. Judges in other states could start penalizing banks with sanctions and overturning foreclosure suits, he says.
PINO’S STORY
The Florida case provides a startling example of abuses that allegedly take place in the foreclosure process - and the strategies lenders use to overcome them. Cheap Air Jordans
Roman Pino, a shy, 35-year-old drywall hanger, bought his home in 2006 during the housing boom. He put 20 percent down on half of a two-bedroom duplex near Palm Beach, Fla., and financed the rest with a $162,400 loan from Countrywide Financial, now owned by Bank of America.
In 2008, when Florida’s economy weakened, Pino couldn’t find construction jobs and fell behind on his mortgage payments. In October, Bank of New York Mellon, the trustee for the security that owns Pino’s loan, filed a suit to foreclose.
Bank of America was Pino’s mortgage servicer. It didn’t respond to a request for comment.
To help him hang on to his home, Pino sought the help of Thomas Ice, a homeowner-defense attorney. Ice quickly discovered that the documents in the bank’s foreclosure lawsuit were fudged.
Pino’s mortgage assignment — the document that legally binds a loan to a lender - had been executed by Cheryl Samons, an alleged robo-signer who signed as many as 1,000 foreclosure affidavits a day, according to court depositions.
According to court documents, Samons worked for one of the banking industry’s biggest foreclosure mills, the law firm of David Stern. The firm consistently created false documents, according to a report by investigators in the Florida Attorney General’s office.
Ice dug up depositions where a Stern employee testified that Samons’s hand got so cramped that she told three underlings to forge her signature. Two Stern workers also testified that they forged signatures, backdated documents, swapped Social Security numbers, inflated billings and passed around notary stamps as casually as if they were salt, according to court papers.
Samons, who could not be located for comment, denied the robo signing allegations in an April 2011 deposition. She also testified that Stern lied to her and ignored her concerns.
Stern’s firm is now shuttered and under investigation by the Florida Attorney General. Stern’s lawyer, Jeffrey Tew, said, “No one ever testified that David ever knew of any misconduct by any of his employees.”
To Ice, it was immediately obvious that the Stern firm had backdated Pino’s mortgage assignment because the notarization stamp was not valid at the time denoted on the document.
The only way the notarization stamp used on Pino’s assignment could have been valid, Ice alleged, was if the notary had been “capable of time travel.”
He filed a motion to dismiss, arguing that since the bank’s documents were illegal, so was the foreclosure.
VOLUNTARY DISMISSAL
Then, in May 2009, the day before Ice was about to take his first deposition of one of Stern’s employees, Bank of New York Mellon voluntarily dismissed the case.
Three months later, Stern’s firm filed a second foreclosure lawsuit against Pino - this time with different documents.
The same month, Ice filed a motion to vacate the voluntary dismissal, asking the judge both for his attorney’s fees, since Pino wasn’t paying him, and for a hearing.
Ice argued that a bank shouldn’t be allowed to use a voluntary dismissal to dispose of a case in which it filed fraudulent documents, only to turn around and refile the same case with different paperwork later on.
Last summer, Pino’s case was headed to the Florida Supreme Court, which said it was of “great public importance” because “many mortgage foreclosure cases appear to be tainted with suspect documents.”
But on July 22, just before the case was scheduled for oral argument, Bank of New York Mellon struck a confidential settlement with Pino.
The same day, Bank of New York Mellon, which declined comment for the story, filed a “satisfaction of mortgage” document with the Palm Beach County property recorder’s office.
Pino now owned the house, free and clear.
Even though Pino and the bank have settled, the Supreme Court decided to rule on the issue of voluntary dismissal anyway, settling a question that has vexed Florida’s lower courts for nearly five years. Its decision won’t affect Pino’s case.
Voluntary dismissal is the banks’ main strategy in judicial states for dealing with homeowners who challenge foreclosures, says Georgetown University consumer and housing finance professor Adam Levitin, who has served as special counsel to the Congressional Oversight Panel.
After a dismissal, the banks can then refile their case using different documents.
“If that fails, strategy number two is to buy them off,” says Levitin.
If the court rules against voluntary dismissal, the banks face the costly specter of not being able to simply refile cases and expect homeowners to not challenge the suits.
In Florida, that’s a lot of cases. In the year ending July 11, 2011, for example, more than 104,000 foreclosure cases were voluntarily dismissed from Florida’s courts, according to the Office of the State Courts Administrator.
Attorneys who work in the foreclosure field say that such dismissals usually occur because of the banks’ legal document issues.
To represent it before the Florida Supreme Court, Bank of New York Mellon has hired Bruce Rogow, an attorney who has argued civil rights cases and defended American Nazi Party members and Ku Klux Klan Grand Wizard David O. Duke. He also has represented consumers in the class action against banks for overdraft fees.
Rogow says the case is not about foreclosures or mortgage assignments or robo signing but about the sanctity of a plaintiff’s unfettered right to dismiss a case.
“Nobody is saying the bank did anything wrong, and if it was the law firm, there are alternative remedies for that that are far less disturbing than setting aside a law such as voluntary dismissal,” says Rogow.
Advocates say upholding the use of voluntary dismissal could empower the banks to do nothing to change their questionable foreclosure practices.
“The banks have a bully business model. You pick on the weak consumer, you demand his lunch money and he runs away,” says Levitin.
“But what if he pushes back — what if he’s Roman Pino?”

Viewing child pornography online not a crime: New York court ruling

“The purposeful viewing of child pornography on the internet is now legal in New York,” Senior Judge Carmen Beauchamp Ciparick wrote in a majority decision for the court.
The decision came after Marist College professor James D. Kent was sentenced to prison in August 2009 after more than 100 images of child pornography were found on his computer’s cache. Cheap Jordan Shoes
Whenever someone views an image online, a copy of the image’s data is saved in the computer’s memory cache.
The ruling attempts to distinguish between individuals who see an image of child pornography online versus those who actively download and store such images, MSNBC reports. And in this case, it was ruled that a computer’s image cache is not the same as actively choosing to download and save an image.
“Merely viewing Web images of child pornography does not, absent other proof, constitute either possession or procurement within the meaning of our Penal Law,” Ciparick wrote in the decision.

The court said it must be up to the legislature, not the courts, to determine what the appropriate response should be to those viewing images of child pornography without actually storing them. Currently, New York’s legislature has no laws deeming such action criminal.
